Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Duerelay website, dashboard, APIs, webhook tooling, and related services (collectively, the "Service"). The Service is operated by Duerelay ("Duerelay", "we", "us"). By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
1. Eligibility
You must be legally capable of entering into a binding agreement to use the Service. The Service is intended primarily for business and professional use.
2. The Service
Duerelay is a webhook debugging, inspection, replay, routing, and reliability platform that helps users receive, inspect, test, monitor, control, and manage webhook and event-driven traffic across connected systems.
The Service may include dashboards, APIs, endpoint tools, logs, usage controls, replay tools, delivery controls, billing and account tooling, and related features. Features may vary by plan, usage tier, environment, or written agreement.
3. Accounts and Security
You are responsible for:
- providing accurate account information;
- maintaining the confidentiality of your login credentials, API keys, endpoint tokens, signing secrets, and other access credentials;
- all activity occurring under your account or credentials; and
- promptly notifying Duerelay of any suspected unauthorized access or security incident affecting your account.
We may require email verification, identity verification, billing verification, or other account checks before enabling some features.
4. Customer Data and Webhook Payloads
You are responsible for all data, payloads, metadata, configuration, and content submitted to, transmitted through, or processed using the Service ("Customer Data").
You represent and warrant that:
- you have all necessary rights, permissions, and lawful bases to use Customer Data with the Service;
- your use of the Service and Customer Data does not violate applicable law, third-party rights, or contractual restrictions; and
- you will not submit unlawful content, malware, or data you are not authorized to process.
You should not use the Service to submit or expose unnecessary sensitive personal data or highly confidential data unless you have assessed and accepted the associated risks and legal obligations.
5. Acceptable Use
You may not use the Service to:
- violate applicable law or third-party rights;
- probe, scan, exploit, or disrupt systems without authorization;
- bypass authentication, quotas, rate limits, or security controls;
- upload, transmit, or distribute malware or harmful code;
- intercept, capture, or process third-party data without authorization;
- reverse engineer, interfere with, or overload the Service; or
- use the Service in a way that creates security, fraud, abuse, or operational risk for Duerelay, its users, or third parties.
6. Plans, Pricing, Billing, and Taxes
Paid features may be offered under one or more subscription plans, annual plans, usage-based charges, overage charges, or custom pricing arrangements, as described on the pricing page, at checkout, or in a written agreement.
Unless otherwise stated:
- subscriptions renew automatically for successive billing periods;
- you authorize Duerelay and its payment processors to charge applicable fees, taxes, and overage amounts;
- taxes, including VAT, may apply depending on your location, tax status, and applicable law; and
- pricing, usage limits, and plan features may change prospectively in accordance with these Terms.
7. Payment Processing
Payments may be processed by third-party payment service providers, including Stripe. Those providers may collect, store, and process payment method information in accordance with their own terms and privacy notices. Duerelay does not necessarily store full payment card details when payments are processed through such providers.
Duerelay may process billing-related information such as subscription status, customer contact details, billing country, tax information, invoice references, payment status, and transaction metadata for billing administration, fraud prevention, support, accounting, and legal compliance.
8. Cancellation, Downgrade, and Termination
You may cancel a paid subscription through the billing portal, if available, or by contacting admin@duerelay.com.
Unless otherwise required by law or stated in a written agreement:
- cancellation stops future renewal charges;
- cancellation does not retroactively undo charges already incurred;
- access to paid features may continue through the end of the current paid billing period; and
- downgrades, plan changes, or overage settings may take effect immediately, at the next billing cycle, or as specified during checkout or in the product interface.
We may suspend, restrict, or terminate access to the Service, with or without notice, if reasonably necessary for security, fraud prevention, abuse prevention, non-payment, legal compliance, or protection of the Service and other users.
9. Refunds
Fees are generally non-refundable except where required by applicable law or expressly agreed in writing. If you believe you were billed in error, contact admin@duerelay.com promptly.
10. Privacy and Data Processing
Our collection and use of personal data relating to account administration, billing, support, security, fraud prevention, and operation of the Service are described in our Privacy Policy.
As between you and Duerelay, you remain responsible for determining whether your use of the Service to process Customer Data complies with applicable data protection law. Where required, the parties may enter into a separate data processing agreement.
11. Service Availability and Changes
The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation.
We may modify, replace, suspend, or discontinue any part of the Service, including features, integrations, limits, environments, or pricing, from time to time. Planned maintenance, third-party outages, internet failures, security events, and force majeure events may affect availability.
Beta, preview, or experimental features may be incomplete, changed, or removed without notice.
12. Intellectual Property
Duerelay and its licensors retain all right, title, and interest in and to the Service, including all software, documentation, branding, designs, and related intellectual property rights.
Subject to these Terms, Duerelay grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
13. Feedback
If you provide suggestions, feedback, or ideas regarding the Service, Duerelay may use them without restriction or obligation to you.
14. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
15. Limitation of Liability
To the maximum extent permitted by law, Duerelay will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or business opportunity arising out of or related to the Service.
To the maximum extent permitted by law, Duerelay’s aggregate liability arising out of or related to the Service will not exceed the total amount paid by you to Duerelay for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
16. Indemnity
You agree to defend, indemnify, and hold harmless Duerelay from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of the Service;
- your Customer Data;
- your breach of these Terms; or
- your violation of applicable law or third-party rights.
17. Governing Law and Venue
These Terms are governed by the laws of the Netherlands, excluding conflict of laws principles. The competent courts of the Netherlands will have exclusive jurisdiction, unless mandatory law provides otherwise.
18. Changes to These Terms
We may update these Terms from time to time. If we do, we will update the "Last updated" date. Material changes may be communicated by email, through the Service, or by other reasonable notice.
Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms.
